PART I

Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of goldfish.directory and the related investor, document, communications, scheduling, verification, and administrative services made available through the site (collectively, the “Services”). “Goldfish,” “we,” “us,” and “our” refer to the operator of the Services. By accessing or using the Services, creating an account, submitting information, or electronically accepting an agreement through the Services, you agree to these Terms. If you use the Services for an entity, you represent that you have authority to bind that entity.

1. Eligibility and account authority

You must be at least eighteen years old and legally capable of entering into binding agreements. Investment-related portions of the Services are intended only for persons who may lawfully receive the information presented. You may not create an account for another person without lawful authority or misrepresent your identity, qualifications, authority, or financial status.

2. Nature of the Services

Goldfish provides information about portfolio companies and private-market opportunities, account and accreditation-verification workflows, secure document access, electronic agreement tools, communications, and meeting scheduling. Certain features may use automated or artificial-intelligence-assisted systems to organize information or support administrative workflows. The Services do not replace the controlling offering, subscription, organizational, or transaction documents.

3. Securities and investment information

Information on the Services is for evaluation and discussion and does not, by itself, constitute an offer to sell or a solicitation of an offer to buy a security. Any offer may be made only through the applicable definitive offering documents and only in a jurisdiction and to a person for whom the offer is lawful. Opportunities identified as Rule 506(c) offerings are available for investment only to investors whose accredited status has been verified. Neither access to the Services nor completion of verification guarantees acceptance, allocation, closing, or any investment result.

Goldfish does not provide individualized legal, tax, accounting, or investment advice through the Services. You are responsible for reviewing the definitive documents, conducting your own diligence, and consulting advisers of your choosing.

4. Accounts, credentials, and accurate information

You must provide current, complete, and accurate information and promptly correct material changes. You are responsible for protecting your password, access token, device, and account and for activity conducted through your credentials. Notify Goldfish promptly at [email protected] if you suspect unauthorized access. We may require additional authentication or suspend access when reasonably necessary to protect users, confidential information, or the Services.

5. Investor accreditation and identity verification

You authorize Goldfish to review the identity, income, net-worth, professional, entity, and other evidence you submit for eligibility and compliance purposes. Verification may include photo identification, camera-based identity confirmation, financial records, and written confirmation from a licensed attorney, certified public accountant, registered broker-dealer, SEC-registered investment adviser, or another legally acceptable verifier. We may request clarification or additional evidence and may approve, deny, or defer access based on the record available and applicable requirements. Verification materials must be authentic, unaltered, and lawfully submitted.

6. Restricted materials and confidentiality

Nonpublic company information, offering materials, diligence materials, financial information, credentials, and documents made available after verification or under a nondisclosure agreement are confidential and restricted to the authorized account holder. You may use them solely to evaluate the applicable opportunity and may not redistribute, publish, scrape, sell, or disclose them except as expressly permitted by the controlling agreement or required by law. More specific confidentiality terms in an accepted nondisclosure agreement control if they conflict with this section.

7. Electronic communications, signatures, and records

You consent to receive account, verification, document, meeting, and transaction communications electronically at the contact information you provide. Electronic acceptance, typed signatures, click-through assent, and electronically maintained records may be used to evidence agreements and actions to the extent permitted by applicable law. You are responsible for retaining copies needed for your records and for keeping your email address current.

8. User submissions

You retain ownership of information and files you submit. You grant Goldfish a limited, nonexclusive right to host, copy, process, transmit, display to authorized reviewers, and otherwise use those materials only as reasonably necessary to provide, secure, administer, and comply with legal obligations relating to the Services. You represent that you have the right to submit the materials and that doing so does not violate law or another person’s rights.

9. Acceptable use

You may not use the Services to violate law; impersonate another person; provide fraudulent evidence; evade eligibility or access controls; probe or interfere with security; introduce malicious code; automate extraction without authorization; access another user’s account or restricted materials; infringe intellectual-property, privacy, or contractual rights; or use information obtained through the Services for unlawful solicitation, harassment, discrimination, or fraud.

10. Intellectual property

The Services, site design, Goldfish branding, software, workflows, text, graphics, and other Goldfish-provided content are owned by or licensed to Goldfish and are protected by applicable intellectual-property laws. Subject to these Terms, Goldfish grants you a limited, revocable, nontransferable right to use the Services for their intended purpose. No other license is granted.

11. Third-party services

The Services may rely on or link to third-party providers for hosting, communications, identity workflows, electronic documents, scheduling, video meetings, analytics, or other functions. Third-party services may have their own terms and privacy practices. Goldfish is responsible for its own Services but does not control an independent third party’s systems or terms.

12. Service availability and changes

We may maintain, improve, modify, or discontinue a feature and may restrict access to protect security, confidentiality, legal compliance, or system integrity. We do not promise uninterrupted or error-free availability. Material changes to these Terms will be posted on this page with an updated effective date, and continued use after the change becomes effective constitutes acceptance where permitted by law.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE FULLEST EXTENT PERMITTED BY LAW. GOLDFISH DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GOLDFISH DOES NOT WARRANT THAT INFORMATION SUPPLIED BY USERS OR THIRD PARTIES IS COMPLETE OR ACCURATE, THAT ACCESS WILL BE UNINTERRUPTED, OR THAT AN INVESTMENT WILL BE OFFERED, ACCEPTED, OR PROFITABLE. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GOLDFISH AND ITS OWNERS, PERSONNEL, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITY, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM THE SERVICES. THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED. RIGHTS AND REMEDIES ARISING FROM A DEFINITIVE INVESTMENT OR SUBSCRIPTION AGREEMENT ARE GOVERNED BY THAT AGREEMENT.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold Goldfish and its owners and personnel harmless from third-party claims, losses, and reasonable costs arising from your unlawful use of the Services, fraudulent or unauthorized submissions, violation of these Terms, or infringement of another person’s rights. This obligation does not apply to the extent a claim results from Goldfish’s own unlawful conduct.

16. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access for a material violation of these Terms, suspected fraud, security risk, confidentiality breach, legal requirement, or discontinuation of the Services. Provisions concerning confidentiality, intellectual property, submitted records, disclaimers, liability, and dispute-related rights survive as necessary to give them effect.

17. Applicable law and controlling agreements

These Terms are governed by applicable law, without creating a governing-law or forum selection that has not otherwise been agreed in writing. Any governing-law, forum, arbitration, transfer, subscription, or dispute provision in a definitive offering, subscription, nondisclosure, or other signed agreement controls the subject matter of that agreement. If a provision of these Terms is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective.

Privacy Policy

This Privacy Policy explains how Goldfish collects, uses, discloses, and protects personal information in connection with the Services. It applies to site visitors, investor-account holders, applicants, authorized signers, meeting participants, contacts, and other persons who interact with Goldfish through the Services.

1. Information we collect

  • Account and contact information: name, email address, password-derived authentication data, telephone number, LinkedIn profile, correspondence, and account status.
  • Address and residence information: street address, unit, city, state, ZIP code, and whether the residence is rented, owned, or another arrangement.
  • Investor eligibility information: accreditation basis, prior-year income, expected current-year income, estimated net worth excluding a primary residence, professional or entity qualifications, and related certifications.
  • Identity and verification evidence: government-issued identification, camera-verification images and responses, financial or professional records, verifier letters, administrator notes, review decisions, timestamps, and audit history.
  • Agreements and document activity: nondisclosure and other electronic agreements, acceptance and signature records, document-access status, uploads, requests, and related communications.
  • Meetings and inquiries: availability selections, bookings, participant details, messages, contact-form submissions, and communications with associates.
  • Technical and security information: IP address, browser and device information, request and event logs, authentication tokens, timestamps, error records, and information used to detect abuse and secure the Services.

2. How information is collected

We collect information directly from you when you browse the site, create an account, complete an application, upload evidence, sign an agreement, request information, or schedule a meeting. We also receive information from authorized professional verifiers, service providers that support requested functions, and system-generated logs created when the Services are used.

3. How we use information

Goldfish uses personal information to provide and secure accounts; evaluate identity and accredited-investor eligibility; administer offering and document access; request and review additional evidence; maintain compliance and audit records; deliver agreements and communications; arrange meetings; respond to inquiries; prevent fraud and misuse; troubleshoot and improve the Services; enforce agreements; and comply with legal, regulatory, and recordkeeping obligations.

4. How information is disclosed

We may disclose information to authorized Goldfish administrators and personnel; companies or offering participants whose restricted materials you are authorized to evaluate; professional verifiers and advisers involved in a review; and vendors that provide hosting, database, email, document, security, identity, communications, scheduling, or similar operational services. We may also disclose information when reasonably necessary to comply with law, legal process, regulatory inquiry, enforceable request, protect rights or safety, investigate fraud or security incidents, or complete a merger, financing, reorganization, or transfer of the relevant business subject to appropriate safeguards.

Goldfish does not use investor identity or accreditation evidence for targeted advertising and does not sell those verification documents for monetary consideration.

5. Artificial intelligence and automated processing

Goldfish may use artificial-intelligence-assisted tools to organize company materials, support document workflows, or assist administrative operations. AI-generated or automated output does not make the final accreditation decision and does not replace administrator review or controlling legal documents. Personal information is provided to a technology service provider only when reasonably necessary for the enabled function and subject to the provider relationship applicable to that processing.

6. Cookies and local storage

The Services may use browser storage, authentication tokens, and essential cookies or similar technology to keep you signed in, preserve requested navigation, protect accounts, and operate site features. Blocking essential storage may prevent investor-account and restricted-document functions from working. Goldfish does not describe an essential authentication mechanism as advertising consent.

7. Retention

We retain personal information for as long as reasonably necessary to provide the Services, complete reviews and transactions, maintain security and audit history, resolve disputes, enforce agreements, and satisfy legal, regulatory, tax, accounting, or recordkeeping obligations. Retention may continue after account access ends when those purposes require it. When information is no longer required, we may delete, de-identify, or securely archive it as appropriate.

8. Security

Goldfish uses administrative, technical, and organizational measures designed to protect personal information, including access controls and restricted review workflows. No internet transmission or storage system is completely secure. You should use a strong, unique password, protect access to your email and device, and notify us promptly if you suspect unauthorized access.

9. Your choices and privacy requests

You may request access to or correction of account information and may ask about deletion or restriction by contacting [email protected]. We will evaluate requests under applicable law and may need to verify identity before acting. Some information may be retained despite a request when necessary for legal compliance, transaction and accreditation records, fraud prevention, security, dispute resolution, or enforcement of agreements. You may opt out of nonessential promotional email through the instructions in the message; account, security, verification, and transaction communications remain necessary while the relevant relationship continues.

10. State and other privacy rights

Depending on where you reside and subject to applicable exemptions, law may provide rights to know, access, correct, delete, obtain a portable copy of, or limit certain uses of personal information, and to appeal a denied request. Goldfish will not unlawfully discriminate against a person for exercising an applicable privacy right. Submit a request to [email protected] and identify the nature of the request and the account email involved.

11. Children

The Services are not directed to children under eighteen, and Goldfish does not knowingly permit a child to create an investor account or submit an investor application. Contact us if you believe a child has submitted personal information.

12. Processing location and external links

The Services are operated for a United States private-market audience. Information may be processed in the United States and other locations where contracted service providers operate, subject to applicable requirements. Links to independent third-party sites are governed by those parties’ privacy practices, not this Policy.

13. Changes and contact
